By creating an account, accessing, or using the Platform, you agree to be bound by these Terms and by our Data & Privacy Policy, which is incorporated by reference. If you do not agree, do not use the Platform.

If you use the Platform on behalf of a company or organisation, you represent that you are authorised to bind that entity, and “you” refers to that entity.

To use the Platform, you must meet all the following requirements:

1

Be at least 18 years old.

2

Have the full legal capacity to enter into a binding contract.

3

Provide accurate, current, and complete registration information during setup.

4

Use the Platform in absolute compliance with all applicable local and national laws.

We reserve the right to refuse, suspend, or terminate access at our sole discretion where these requirements are not met.

4. Accounts and Security

You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. You agree to:

  • Provide accurate information and keep it up to date at all times.
  • Not share your account or let others use it under any circumstances.
  • Notify us immediately of any suspected or confirmed unauthorised access at support@micro-influx.com.

We are not liable for losses arising from your failure to safeguard your account.

5. The Role of Micro-Influx

Micro-Influx is a marketplace and technology platform that helps Brands and Creators discover one another, agree on Campaigns, manage workflows, and process payments. We provide tools for matching, verification, communication, escrow, and analytics.

Important Disclaimer on Marketplace Role

Micro-Influx is not a party to the agreement between a Brand and a Creator. The Campaign agreement is solely between those Users. We do not employ Creators, do not control the content they produce beyond Platform rules, and do not guarantee any particular outcome, reach, engagement, or sales. We are not an advertising agency, talent agency, or financial advisor.

6. Brand Obligations

If you are a Brand, you explicitly agree to:

Provide clear, lawful, and accurate Briefs.

Fund Campaigns and pay all platform Fees when due.

Promote only lawful products and services (no prohibited or restricted goods).

Comply with advertising and consumer-protection laws, including the rules of the Advertising Regulatory Council of Nigeria (ARCON).

Review and approve Deliverables in a timely, good-faith manner.

Respect the intellectual-property and other rights of Creators.

7. Creator Obligations

If you are a Creator, you explicitly agree to:

Provide accurate profile, audience size, and performance engagement information.

Produce highly original, lawful Content that fully meets the agreed Brief instructions.

Deliver all campaign items on time and communicate professionally.

Hold all rights necessary to grant the intellectual property licenses in Section 11.

Strict Creator Authenticity & Disclosure

NOT USE fake followers, bots, purchased engagement, or artificial engagement pods under any circumstances.

Clearly disclose sponsored or paid content (e.g., using #ad, #sponsored, or platform “paid partnership” labels) as required by ARCON and applicable advertising rules.

8. Campaigns and User-to-User Contracts

When a Brand and a Creator agree on a Campaign, the Brief and any additional agreed terms form a binding contract between them. Each party is responsible for performing its obligations. Micro-Influx provides the tools and escrow service but is not responsible for the acts or omissions of any User.

You agree to use the Platform's messaging and workflow tools for Campaign communications, and not to circumvent the Platform to avoid Fees (see Section 9.5).

9. Fees, Payments, and Escrow

9.1 Pricing

Brands fund Campaigns and pay applicable Fees as displayed on the Platform at the time of the transaction. Fees may include service fees, payment-processing fees, and other charges, which we will disclose before you commit.

9.2 Escrow

Campaign funds are held in Escrow until the agreed Deliverables are completed and approved. This protects both parties: Creators are assured funds exist, and Brands are assured they pay only for delivered work.

9.3 Payouts

Approved funds are released to Creators by direct bank transfer in Naira (₦) to the account on file, less applicable Fees. Payout timing depends on our payment partners and your bank.

9.4 Taxes

Each User is responsible for its own taxes arising from use of the Platform. Where required by law, we may withhold or remit taxes and issue relevant documentation.

9.5 No circumvention

You agree not to arrange, accept, or make payments for Platform-sourced engagements outside the Platform to avoid Fees. Doing so is a material breach and may result in immediate suspension and liability for unpaid Fees.

9.6 Refunds

Refunds are handled per the Campaign agreement and our dispute process (Section 10). If a Creator does not deliver agreed Deliverables, escrowed funds may be returned to the Brand in whole or part, as determined under that process.

10. Disputes Between Users

If a Brand and Creator disagree about Deliverables or payment, they should first try to resolve it directly through the Platform. If they cannot, either party may escalate to our dispute-resolution process by contacting support@micro-influx.com.

We may review the Brief, Deliverables, communications, and other relevant evidence, and make a good-faith determination about release or refund of escrowed funds. Our determination is administrative and final for the purpose of releasing escrow, but does not prevent Users from pursuing other legal remedies between themselves. Micro-Influx is not liable for the underlying dispute.

11. Content and Intellectual Property

11.1 Your content

You retain ownership of Content you create or upload. By posting Content, you grant Micro-Influx a worldwide, non-exclusive, royalty-free licence to host, store, display, and use it as needed to operate, promote, and improve the Platform.

11.2 Campaign content

Ownership and usage rights in Deliverables (for example, whether a Brand may reuse Creator content in paid advertising) are governed by the Campaign agreement between the Brand and the Creator. Brands and Creators should clearly specify usage rights, exclusivity, and duration in the Brief.

11.3 Our intellectual property

The Platform, including its software, design, logos, and trademarks, is owned by Micro-Influx or its licensors and is protected by law. You may not copy, modify, distribute, reverse-engineer, or create derivative works without our written permission.

11.4 Feedback

If you give us feedback or suggestions, you grant us the right to use them without restriction or compensation.

12. Verification and Prohibited Conduct

We use automated and manual methods to verify creator authenticity and protect the Platform. You agree not to:

Use fake followers, bots, or manipulated engagement profiles.

Misrepresent your identity, audience size, metrics, or brand affiliation.

Post unlawful, infringing, defamatory, hateful, or deceptive Content.

Promote illegal, fraudulent, or prohibited products or schemes.

Harass, abuse, stalk, or harm other platform Users.

Interfere with, scrape, overload, or attempt to hack the database.

Upload malware, viruses, or attempt to breach system security parameters.

Circumvent platform Fees or bypass the escrow banking systems.

Use the Platform for money laundering or any unlawful financial purpose.

Violations of conduct guidelines may result in immediate content removal, total account suspension, legal termination, withholding of escrowed funds, and full reporting to security authorities.

13. Third-Party Services

The Platform integrates with third-party services such as social-media platforms, payment processors, and analytics providers. Your use of those services is subject to their terms and privacy policies. We are not responsible for third-party services, and their availability may change.

14. Confidentiality

Users may receive confidential information from one another or from us (e.g., unpublished campaign strategies). You agree to keep such information confidential and use it only for the purpose of the relevant Campaign, except where disclosure is required by law.

15. Disclaimers

The Platform is provided on an “as is” and “as available” basis. To the maximum extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that:

  • The Platform will be completely uninterrupted, secure, or error-free.
  • Any Campaign will achieve specific reach, engagement, conversions, or sales ROI.
  • Any User (Brand or Creator) will perfectly perform its contract obligations.
  • Our verification algorithms will detect every single instance of fraud or inauthentic activity.

16. Limitation of Liability

To the maximum extent permitted by law, Micro-Influx and its officers, employees, and partners will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, or goodwill, arising from your use of the Platform.

Our total aggregate liability for any claim arising out of or relating to these Terms or the Platform will not exceed the greater of (a) the total Fees you paid to us in the three (3) months before the event giving rise to the claim, or (b) ₦50,000.

17. Indemnification

You agree to indemnify and hold harmless Micro-Influx and its representatives from any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising out of or related to: (a) your use of the Platform; (b) your Content or Deliverables; (c) your breach of these Terms or applicable law; or (d) your dispute with another User.

18. Suspension and Termination

You may close your account at any time. We may suspend or terminate your access, with or without notice, if you breach these Terms, create risk or legal exposure, engage in fraud or prohibited conduct, or if required by law.

On termination: your right to use the Platform ends; pending Campaigns and escrowed funds will be settled under these Terms and the relevant Campaign agreements; and provisions that by their nature should survive (including Sections 9, 11, 14–17, and 19–20) will survive.

19. Governing Law and Dispute Resolution

These Terms are governed by the laws of the Federal Republic of Nigeria, without regard to conflict-of-law rules.

Any dispute arising out of or relating to these Terms or the Platform that cannot be resolved informally will be subject to the exclusive jurisdiction of the courts of Lagos State, Nigeria.

Nothing in this section prevents us from seeking injunctive relief to protect our intellectual property or the Platform.

20. General Terms

Changes to the Terms

We may update these Terms from time to time. Material changes will be notified via the Platform or email, and the “Last Updated” date will change. Continued use after changes take effect constitutes acceptance.

Changes to the Platform

We may modify, suspend, or discontinue features at any time.

Assignment

You may not assign these Terms without our consent. We may assign them in connection with a merger, acquisition, or sale of assets.

Entire Agreement

These Terms and the documents referenced in them are the entire agreement between you and Micro-Influx.

Severability & Waiver

If any provision is found unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver of it.

Force Majeure

We are not liable for delays or failures caused by events beyond our reasonable control.
